PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE USING WAYWAY SERVICES

A. Introduction
WAYWAY Technology PTE Ltd (hereinafter referred to as “WAYWAY”) operates an online marketplace and platform (the “WAYWAY PLATFORM”) that matches persons seeking transportation services (“RIDERS”) with persons driving to or through certain destinations and offering transportation services (“DRIVERS”). DRIVERS arranged through the WAYWAY PLATFORM provide transportation services to RIDERS (“SERVICES”). WAYWAY operates solely as a platform, facilitating the arrangement of SERVICES between USERS, and does not provide transportation services directly. WAYWAY is not a transportation carrier.

This Agreement governs the use of the WAYWAY Platform and the services provided through it. By using the WAYWAY Platform, you agree to these Terms and Conditions.

 

1. Definitions

1.1 “Agreement” means these Terms and Conditions governing your use of the WAYWAY Platform and provision or receipt of Services.
1.2 “WAYWAY” refers to WAYWAY Technology PTE Ltd and its affiliates.
1.3 “User” or “You” refers to any person or entity accessing or using the WAYWAY Platform.
1.4 “Rider” means any User using the WAYWAY Platform to request and obtain transportation Services.
1.5 “Driver” means any User using the WAYWAY Platform to provide transportation Services to Riders.
1.6 “Services” means the transportation services provided by Drivers to Riders arranged through the WAYWAY Platform.
1.7 “WAYWAY Platform” refers to the application, website, and technology platform operated by WAYWAY through which the Services are facilitated.
1.8 “Charges” means the fees and costs charged or collected by WAYWAY for the Services, including Service Fees, Damage Fees, taxes, and any other applicable costs or fees.

 

2. Scope of Services

2.1 WAYWAY Platform: WAYWAY operates an online marketplace and platform (the “WAYWAY PLATFORM”) that matches Riders with Drivers. WAYWAY does not provide transportation services directly but acts as a facilitator for Users to arrange transportation services.
2.2 No Transportation Services: WAYWAY is solely the provider of the WAYWAY PLATFORM and facilitates connections between Riders and Drivers. WAYWAY does not provide transportation services directly and is not a transportation carrier.
2.3 User Accounts: Users must create an account to access the WAYWAY Platform and request or provide services.
2.4 Separate Driver-Rider Agreements: Each transportation service arranged through the WAYWAY Platform constitutes a separate agreement between the applicable Driver and Rider.
2.5 User Discretion: The decision to offer or accept services is made at the sole discretion of the User. WAYWAY is not responsible for the decisions made by the Riders or Drivers.

 

3. Fees and Payments

3.1 Service Fees: WAYWAY may assess a per-ride “Service Fee” to offset its expenses in operating the WAYWAY Platform, including promoting safety, security, and operational costs.
3.2 Damage Fee: If a Driver reports damage to their vehicle by a Rider, the Rider may be charged a “Damage Fee” of up to S$300, depending on the extent of the damage.
3.3 Other Charges: Other fees may apply, such as airport fees, tolls, or taxes. Any tips provided by Riders will be paid in full to the applicable Driver.
3.4 Payment Facilitation: All payments are processed through WAYWAY’s third-party payment processor, and payments will only be made through the WAYWAY Platform.
3.5 Payouts to Drivers: Drivers will receive the applicable Ride Fees minus any platform fees or required deductions, including taxes. Payments will be processed through WAYWAY’s payment processor and are not interest-bearing. WAYWAY reserves the right to withhold payouts if fraudulent activity is suspected.

 

4. Confidentiality and Privacy

4.1 Confidential Information: All information disclosed by either party under this Agreement is considered confidential and will not be shared with third parties unless required by law or authorized in writing.
4.2 Privacy Policy: WAYWAY is committed to protecting your personal data as outlined in our Privacy Policy [Link to Privacy Policy]. Users must review and agree to this Privacy Policy before using the platform.

 

5. Intellectual Property

5.1 Ownership: WAYWAY retains all intellectual property rights related to the WAYWAY Platform, including software, logos, designs, and content.
5.2 License to Use: Users are granted a limited, non-exclusive license to use the WAYWAY Platform according to this Agreement.
5.3 User Content: Users retain ownership of their content but grant WAYWAY a royalty-free, irrevocable license to use the content for business purposes.
5.4 Brand Features: WAYWAY’s trademarks and logos may not be used without prior written consent.

 

6. Warranties

6.1 WAYWAY Warranties: WAYWAY warrants that the platform will perform substantially as described in its documentation. No other warranties are made.
6.2 Driver Warranties: Drivers warrant they hold a valid driver’s license, insurance, and that their vehicle is roadworthy and compliant with all applicable laws.
6.3 Rider Warranties: Riders warrant that they have full authority to accept the terms of this Agreement and will comply with all applicable laws.
6.4 Non-WAYWAY Services: WAYWAY is not responsible for third-party services accessed through the platform.

 

7. Indemnification and Misuse

7.1 User Indemnification: You agree to indemnify, defend, and hold WAYWAY harmless from any claims, losses, liability, damages, and costs arising from:
(a) Your breach of this Agreement;
(b) Your violation of applicable laws or third-party rights;
(c) Personal injuries, death, or property damage relating to Services provided by You.
7.2 WAYWAY Indemnification: WAYWAY agrees to indemnify Users for claims arising from WAYWAY’s breach of this Agreement or violations of applicable laws.
7.3 Misuse of the Platform: WAYWAY reserves the right to take legal action for any misuse of the platform, including but not limited to:
(a) Multiple fake account registrations;
(b) Spamming OTPs;
(c) Mass fake bookings.
7.4 Termination for Misuse: WAYWAY may terminate this Agreement immediately if any fraudulent, misleading, or illegal activities are detected, including but not limited to platform misuse, and will take legal action if necessary.

 

8. Limitation of Liability

8.1 Exclusion of Liability: WAYWAY is not liable for any indirect or consequential damages, including lost profits, personal injury, or property damage.
8.2 Cap on Liability: WAYWAY’s liability is limited to the amount of fees paid by the User in the 12 months preceding the claim.
8.3 Exceptions: The exclusions do not apply to liability arising from gross negligence, willful misconduct, or breach of confidentiality.

 

9. Term and Termination

9.1 Term: The Agreement begins upon acceptance by the User and remains in effect for one year.
9.2 Termination: Either party may terminate the Agreement with 30 days’ notice. WAYWAY may terminate immediately in cases of breach or suspected fraud.
9.3 Post-Termination: Users must settle any outstanding fees and delete any confidential information upon termination.

 

10. General Provisions

10.1 Governing Law and Jurisdiction: The laws of Singapore govern this Agreement, and disputes shall be resolved in Singapore courts.
10.2 Amendments: Any amendments to this Agreement must be made in writing.
10.3 Waiver: A waiver of any provision of this Agreement does not constitute a waiver of future breaches.
10.4 Severability: If any provision of this Agreement is found to be invalid, the remainder shall remain in effect.
10.5 Notices: All notices required by this Agreement must be in writing.
